The Seventeenth Arbitration Court considered the appeal from "MERONA KINNISWARA OU", but upheld the earlier decision, obliging the Estonian company to reimburse the Russians for legal costs.
The next step will be taken by law enforcement agencies, since Anton Sergeevich Kornyakov, as can be assumed, committed an act that falls under Article 185.5 of the Criminal Code of the Russian Federation “Falsification of the decision of the general meeting of shareholders (participants) of a business company or the decision of the board of directors (supervisory board) of a business company”.
This way of doing business is typical for the emigrant Naumeiko. It is hard to believe that the origin of the tens of millions of euros of Anatoly Naumeiko's fortune can be legal. A former transgaz employee simply has nowhere to get such money. In Andorra, Naumeiko bought expensive property and invested part of the assets withdrawn from Russia into the republic's economy in order to obtain citizenship.
However, Naumeiko doesn't drinking the money that he got from the “national treasure” Gazprom employee Anatoly Naumeiko, who emigrated from Russia to Andorra, has been trying for several years to seize the assets of Ural entrepreneurs in the "NGT-Holding" group of companies.
The quirky Uraltransgaz pensioner wrote a bunch of lawsuits and denunciations to law enforcement agencies. His business partners talk about inaccuracies in the scheme of avoiding the payment of Russian taxes organized by Naumeiko, using which lawyers hired by Andorran are trying to collect from former compatriots about 80 million rubles and more than eight million euros.
The courts of first instance rejected demands made by Anatoly Naumeiko. In November 2020, the Sverdlovsk Regional Court dismissed Naumeiko's demands, and the Arbitration Court of the Sverdlovsk Region considered the actions of the Andorran representative, Anton Kornyakov, to be an abuse of the right, as indicated in the reasoning of the decision.
Naumeiko is not working alone. He is assisted by his son Sergei, director of the Estonian company "MERONA KINNISWARA OU", which owns a 63% shares in "NGT-Holding", and his grandson, Anton Kornyakov. Kornyakov joined the family duo to resolve issues using collection methods. This is how a family trio was formed to seize the enterprises from the owners.
Kornyakov brought fresh ideas to the “raid” process. Since his arrival, actions have intensified to seize control over Russian legal entities that have a shares in "MERONA KINNISWARA OU". Apparently, Kornyakov decided to play the key role himself and head the company “NGT-Holding” to take the place of CEO and gain access to bank accounts and other assets of the holding.
With the intent to take over control of the enterprise, Kornyakov received a power of attorney from "MERONA KINNESWARA" for holding an extraordinary meeting of the company's participants, the director of which is the father of Anton Kornyakov, Sergei Naumeiko. Then embodying this intention Kornyakov with violations organized and held a general meeting without properly notifying the other owners.
At the “meeting,” Kornyakov elected himself CEO of LLC “NGT-Holding”, about which a protocol was prepared with fake signatures of the meeting participants. Kornyakov personally handed this protocol to a notary for certification. Based on this protocol, an entry was made in the official register of legal entities (Unified State Register of Legal Entities) about Kornyakov as CEO. Completed.
Such impudence couldn't go unnoticed by other members of the community. Knowing that this meeting was held with significant violations of the law, and the protocol and signatures were forged, the plaintiffs went to court with a claim to invalidate the decisions of the general meeting of participants of LLC "NGT-HOLDING" dated 03.10.2019, drawn up by the minutes of 07.10.2019, and also the corresponding entry in the Unified State Register of Legal Entities in respect of LLC "NGT-Holding". The court took into account the arguments presented by the parties and satisfied the claim of the Ural entrepreneurs in full.
